1. Introduction and Acceptance of Terms
These Terms of Service ("Terms", "ToS", "Agreement") constitute a legally binding agreement between Viga Entertainment Technology Pvt. Ltd., a company based in Bangalore, Karnataka, India ("VigaET", "We", "Us", "Our"), and you, the user ("You", "Your"), concerning Your access to and use of the website located at www.vigaet.com (the "Website") as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto. The Website provides information about VigaET's services, including real-time rendering, graphics engineering, and related technologies, showcased projects, company information, and contact mechanisms (collectively, the "Services" available via the Website).1
Please read these Terms carefully before accessing or using the Website. By accessing or using any part of the Website, You agree that You have read, understood, and agree to be bound by all of these Terms. You also agree to comply with Our Privacy Policy, which is incorporated by reference into these Terms and governs the collection and use of Your information.

These Terms govern Your use of the Website only. The actual provision of commercial services by VigaET, such as real-time movie studio services or graphics engineering projects, are subject to separate written agreements between VigaET and its clients.

2. Website Use License and Restrictions
Subject to Your compliance with these Terms, VigaET grants You a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Website and the content made available on it (the "Content") solely for Your personal, informational, and strictly non-commercial purposes.4
This license is subject to the following restrictions. You expressly agree not to:

• Copy, reproduce, modify, amend, distribute, transmit, display, perform, publish, license, create derivative works from, transfer, lease, loan, sell, sublicense, or otherwise commercialize any Content obtained from the Website without the prior written permission of VigaET.4

• Use the Website or Content for any commercial purpose whatsoever. The license granted herein is strictly for non-commercial evaluation and informational use.

• Use the Website in any way that is, or may be, damaging to the Website, VigaET, or any third party, or in any way that impacts user access to this Website.4

• Use the Website in any way that is unlawful, fraudulent, or harmful, or in connection with any unlawful, fraudulent, or harmful purpose or activity.

Any use of the Website or Content not specifically permitted under these Terms is strictly prohibited. VigaET reserves the right to revoke this license at any time, without notice and with or without cause.
3. User Obligations and Prohibited Conduct
You agree to use the Website only for lawful purposes and in accordance with these Terms and any applicable laws and regulations, including the Information Technology Act, 2000 and its associated rules.9
When submitting information through any forms available on the Website (such as the "Get in Touch" contact form or the newsletter signup) 1, You agree to provide information that is true, accurate, current, and complete.11
Furthermore, in compliance with the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 ("IT Rules, 2021"), You are informed and agree not to host, display, upload, modify, publish, transmit, store, update or share any information via the Website (including through contact forms or any other means) that falls into the categories listed in Table 1 below or is otherwise prohibited by law or these Terms.12 While the Website primarily serves to showcase VigaET's services and does not generally allow user uploads 1, these rules apply to any interaction You have with the Website, including submissions via forms, to prevent abuse and ensure compliance with legal obligations incumbent upon VigaET as an intermediary under Indian law.12

Information that impersonates another person.12
Threats to Nation/Public Order
Information that threatens the unity, integrity, defence, security or sovereignty of India, friendly relations with foreign States, or public order, or causes incitement to the commission of any cognizable offence or prevents investigation of any offence or is insulting any foreign State.12
Harmful Code
Information that contains software viruses or any other computer code, file or program designed to interrupt, destroy or limit the functionality of any computer resource.12
General Misuse
Engaging in any activity that interferes with or disrupts the proper working of the Website or VigaET's systems.9 Attempting to probe, scan, or test the vulnerability of the Website or any related system or network or breach any security or authentication measures.9 Using the Website for any illegal purpose, or in violation of any local, state, national, or international law.9 Spamming, harassing, or transmitting unsolicited messages through contact forms or other means.
VigaET reserves the right to investigate and prosecute violations of any of the above to the fullest extent of the law and may involve and cooperate with law enforcement authorities in prosecuting users who violate these Terms.9 VigaET also reserves the right to take any action deemed appropriate, including reporting to law enforcement, if You engage in illegal or inappropriate conduct.9
4. Intellectual Property Ownership
The Website and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof, as well as trademarks, service marks, logos, trade names, and the overall "look and feel") are owned by VigaET, its licensors, or other providers of such material and are protected by Indian and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.1 All such rights are reserved.4
The VigaET name, the VigaET logo, and all related names, logos, product and service names, designs, and slogans are trademarks of VigaET or its affiliates or licensors. You must not use such marks without the prior written permission of VigaET.8 All other names, logos, product and service names, designs, and slogans on this Website are the trademarks of their respective owners.
The limited license granted to You in Section 2 does not transfer any right, title, or interest in or to the Website or any Content on the Website. Any use of the Website not expressly permitted by these Terms is a breach of these Terms and may violate copyright, trademark, and other laws.17
Furthermore, You acknowledge and agree that the descriptions of services, methodologies, processes, technologies, and concepts showcased on the Website (such as those related to RTMS, Graphics Engineering, Movie Colab, Script Viz, etc.) 1 represent the intellectual property and potentially confidential information of VigaET. Your access to the Website does not grant You any license or right, express or implied, to use, replicate, adapt, distribute, or otherwise exploit these underlying concepts, methodologies, or technologies for any purpose, commercial or otherwise. Protecting this intellectual capital is fundamental to VigaET's business, and unauthorized use is strictly prohibited.
5. Information Submitted by Users (Via Forms) & Privacy Policy Reference
The Website allows You to submit information through contact forms and newsletter signup forms ("User Submissions").1 By providing User Submissions, You grant VigaET a non-exclusive, worldwide, royalty-free license to use the information solely for the purpose for which it was submitted, such as responding to Your inquiry, providing requested information, or sending newsletters if You subscribed.
The collection, use, storage, and protection of any personal information included in Your User Submissions are governed by the VigaET Privacy Policy, which is available at https://www.vigaet.com/privacy-policy. VigaET is committed to protecting Your privacy and handling Your data in compliance with applicable laws, including the Indian Information Technology Act, 2000 and the SPDI Rules.2 The Privacy Policy provides detailed information on what data is collected, why it is collected, how it is used, how it is protected, and Your rights regarding Your data.2 Please review the Privacy Policy carefully.
You represent and warrant that: (a) You own or otherwise control all of the rights to the information You submit; (b) the information You submit is accurate and not misleading; and (c) use of the information You supply does not violate these Terms or the Privacy Policy and will not cause injury to any person or entity.11 You agree not to submit any information that is confidential or proprietary to a third party unless You have obtained all necessary permissions.
6. Disclaimer of Warranties
THE WEBSITE AND ALL CONTENT, INFORMATION, AND SERVICES PROVIDED ON OR THROUGH THE WEBSITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.4
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, VIGAET, ITS AFFILIATES, AND THEIR RESPECTIVE LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, AND DIRECTORS EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, STATUTORY OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, TITLE, AND FITNESS FOR A PARTICULAR PURPOSE.4
WITHOUT LIMITING THE FOREGOING, NEITHER VIGAET NOR ANYONE ASSOCIATED WITH VIGAET REPRESENTS OR WARRANTS THAT THE WEBSITE, ITS CONTENT, OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE WEBSITE WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, THAT THE WEBSITE OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT THE WEBSITE OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE WEBSITE WILL OTHERWISE MEET YOUR NEEDS OR EXPECTATIONS.4

7. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VIGAET, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY (WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE), ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE WEBSITE, ANY WEBSITES LINKED TO IT, ANY CONTENT ON THE WEBSITE OR SUCH OTHER WEBSITES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE OR IF VIGAET HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.4
THIS LIMITATION OF LIABILITY SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTION. HOWEVER, NOTHING IN THESE TERMS SHALL LIMIT OR EXCLUDE VIGAET'S LIABILITY FOR NEGLIGENCE IN IMPLEMENTING AND MAINTAINING REASONABLE SECURITY PRACTICES AND PROCEDURES TO PROTECT SENSITIVE PERSONAL DATA OR INFORMATION AS REQUIRED UNDER SECTION 43A OF THE INFORMATION TECHNOLOGY ACT, 2000, WHERE SUCH LIABILITY CANNOT BE EXCLUDED UNDER APPLICABLE LAW.2
IF, NOTWITHSTANDING THE OTHER PROVISIONS OF THESE TERMS, VIGAET IS FOUND TO BE LIABLE TO YOU FOR ANY DAMAGE OR LOSS WHICH ARISES OUT OF OR IS IN ANY WAY CONNECTED WITH YOUR USE OF THE WEBSITE OR ANY CONTENT, VIGAET'S LIABILITY SHALL IN NO EVENT EXCEED INR 5000 (FIVE THOUSAND INDIAN RUPEES).
THE FOREGOING DOES NOT AFFECT ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
8. Indemnification
You agree to defend, indemnify, and hold harmless VigaET, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, demands, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to Your violation of these Terms or Your use of the Website, including, but not limited to, any use of the Website's Content, services, and products other than as expressly authorized in these Terms, or Your use of any information obtained from the Website, or Your violation of any applicable law or the rights of a third party (including intellectual property rights).4
9. Third-Party Websites and Content
The Website may contain links to other websites and resources provided by third parties (such as links to social media platforms or client websites).1 These links are provided for Your convenience only. VigaET has no control over the contents of those sites or resources, and accepts no responsibility for them or for any loss or damage that may arise from Your use of them. The display of client logos in sections like "Our Clientele" 1 is for informational purposes to showcase past relationships and does not imply endorsement of, or by, such clients beyond the scope of the services provided, nor does it imply VigaET's responsibility for the content on those clients' websites. If You decide to access any of the third-party websites linked to this Website, You do so entirely at Your own risk and subject to the terms and conditions of use for such websites.
10. Modification of Terms
VigaET reserves the right, at its sole discretion, to revise and update these Terms at any time without specific notice to You. All changes are effective immediately when We post them and apply to all access to and use of the Website thereafter. The date the Terms were last revised is identified at the top of the page.
Your continued use of the Website following the posting of revised Terms means that You accept and agree to the changes. You are expected to check this page frequently so You are aware of any changes, as they are binding on You. While not obligated, VigaET may choose to notify users of significant changes via methods such as newsletter announcements for subscribers , but posting the updated Terms on the Website shall constitute sufficient notice.
11. Termination or Suspension
VigaET may terminate or suspend Your access to all or part of the Website, without prior notice or liability, for any reason or no reason, including without limitation, if You breach these Terms.4 Since there are no user accounts for public access on the Website , termination or suspension may involve technical measures such as blocking Your IP address.
Upon termination, Your right to use the Website will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, limitations of liability, governing law, and dispute resolution provisions.
12. Governing Law and Jurisdiction
These Terms and Your use of the Website, and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims), shall be governed by and construed in accordance with the laws of the Republic of India, without giving effect to any choice or conflict of law provision or rule.
Subject to the mandatory arbitration provisions in Section 13 below, You irrevocably agree that the competent courts located in Mumbai, Maharashtra, India shall have exclusive jurisdiction to settle any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with this Agreement or its subject matter or formation, including any proceedings to enforce an arbitration award. The choice of Mumbai is based on its status as a major commercial center with established courts for handling business disputes.
13. Dispute Resolution (Arbitration Clause)
Any dispute, controversy, difference, or claim arising out of or relating to these Terms, including the existence, validity, interpretation, performance, breach, or termination thereof, or any dispute regarding non-contractual obligations arising out of or relating to it, shall be referred to and finally resolved by arbitration administered in accordance with the Arbitration and Conciliation Act, 1996, as amended from time to time.
The arbitration shall be conducted by a sole arbitrator appointed by mutual agreement of the parties, or failing agreement within 30 days, appointed in accordance with the Arbitration and Conciliation Act, 1996.
The seat, or legal place, of arbitration shall be Mumbai, Maharashtra, India. The language to be used in the arbitral proceedings shall be English. The award rendered by the arbitrator shall be final and binding on both parties.
The parties agree that the arbitration proceedings may, by mutual agreement or at the discretion of the arbitrator, be conducted wholly or partially through online dispute resolution (ODR) platforms or video conferencing to enhance efficiency.29 This clause constitutes a valid arbitration agreement between You and VigaET, incorporated directly into these Terms.
14. Grievance Officer
In accordance with the Information Technology Act, 2000 and the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 made thereunder, the name and contact details of the Grievance Officer are provided below. Users or any victim who suffers as a result of a violation of these Terms or applicable law by any content hosted or transmitted via the Website can contact the Grievance Officer to report their concerns or grievances.

The Grievance Officer shall acknowledge the complaint within twenty-four hours and dispose of such complaint within a period of fifteen days from the date of its receipt, where feasible.
15. Miscellaneous

• Severability: If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

• Entire Agreement: These Terms and Our Privacy Policy constitute the sole and entire agreement between You and VigaET regarding the Website and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Website.

• Waiver: No waiver by VigaET of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of VigaET to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

• Assignment: VigaET may assign its rights and obligations under these Terms, in whole or in part, to any party at any time without notice to You. You may not assign Your rights or obligations under these Terms without the prior written consent of VigaET.
